GameStop said the cash part of the offer is expected to be funded from a combination of cash and liquid investments on GameStop’s balance sheet, which totaled $9.4 billion as of January 31, 2026, and “third-party acquisition financing,” with up to $20 billion in debt financing from TD Securities. GameStop did not say exactly where this third-party acquisition financing would come from.

As noted by Barron's (via MSN), GameStop's market capitalization sits at a little over $11 billion, and it has roughly $9.4 billion in "cash and liquid investments" it can put toward the deal. It also has a "highly-confident letter from TD Securities" for up to $20 billion in further financing—"highly confident" meaning the proposition is solid but not actually locked down.
That leaves a shortfall of, very roughly, $15 billion in GameStop's offer. GameStop could raise more funds by issuing more stock, but doing so would dilute the value of stock held by current shareholders. GameStop CEO Ryan Cohen refused to be drawn on the question in a CNBC interview, despite being pressed on it multiple times.

Sorkin then added up GameStop's market capitalization, cash, and expected (but not yet secured) financing from TD Securities, reaching a number $16 billion less than the $56 billion offer, to which Cohen responded, "Yeah, well we'll see what happens."
A baffled Sorkin rephrased the question, and co-anchor Becky Quick jumped in with a perplexed laugh: "Ryan, that's a pretty straightforward question. I don't get it. Where's the rest of the money come from?"
